THE SITE AND ALL CONTENT AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, Equicash DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Site will meet your requirements;
  • The Site will be uninterrupted, secure, or error-free; or
  • Any defects will be corrected.

You assume all responsibility and risk for your use of the Site.

Limitation of Liability

To the maximum extent permitted by law, in no event shall Equicash LLC or its members, managers, employees, agents, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including without limitation loss of profits, data, or goodwill) arising out of or related to your use of or inability to use the Site or any communications with us.

Our total liability for any claim arising out of or relating to the Site shall not exceed the greater of:

  • One hundred dollars (US $100), or
  • Ten percent (10%) of the amount, if any, you paid to us specifically for services accessed through the Site giving rise to the claim.

Some jurisdictions do not allow limitations on certain damages, so some of the above limitations may not apply to you.


Indemnification

You agree to indemnify, defend, and hold harmless Equicash LLC and its members, managers, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your violation of these Terms; or
  • Your violation of any rights of another person or entity.

This obligation will survive your use of the Site and any termination of these Terms.


Governing Law and Venue

These Terms and any disputes arising out of or relating to your use of the Site are governed by the laws of the State of Texas, without regard to its conflict of laws principles.

You agree that any legal action or proceeding arising out of or relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and you hereby consent to the personal jurisdiction and venue of such courts.


Connectivity and Carrier Charges

You understand that your access to the Site and our communications with you (including SMS/text messages, data usage, and phone calls) may incur charges from your internet or mobile service provider. You are solely responsible for any such charges, including messaging and data fees.


Termination

We may, in our sole discretion and without prior notice, terminate or suspend your access to the Site for any reason, including if we believe you have violated these Terms or applicable law.

Upon termination, all rights granted to you under these Terms will immediately cease, and any provisions that by their nature should survive termination (including, without limitation, Sections 10–15) shall survive.


Miscellaneous
  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Equicash concerning your use of the Site and supersede all prior or contemporaneous understandings or agreements.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms at any time without notice.
